Collectively, all of the above people or businesses entering this Agreement will be referred to as the "Parties"

Purpose of Agreement

Client wishes to hire Designer to provide services relating to Client as detailed in this Agreement. Designer has agreed to provide such services according to the terms of this Agreement.

Services

Designer shall provide Client with the following services and/or products. If Client wishes to add additional Services, those may be added for an additional fee and are not included with this service. "Custom Logo Design" Includes one brand color pallet, up to two fonts, one Main Logo, Sub Logo, and Icon. One set of 3 concepts will be made and 3 rounds of revisions. Files in your brand colors will be received in .AI .PDF .PNG and .JPG and a description on how to use them will be provided. "Custom Pet Portrait" Includes agreed composition made from colored pencils and wood burning on agreed size of wood as detailed on invoice. Piece is sealed and a hook is fixed into back of piece. "Custom Illustration" includes one or more agreed upon illustrations. Details will be decided on Invoice Proposal. Cost, Fees, and Payment

The total cost as detailed on the Invoice for all Services is due in full before final files are received. The first payment is a non-refundable retainer. At a minimum, Client agrees that the retainer fee fairly compensates designer for committing to provide the Services and turning down other potential projects/clients.

Payment Plan

Payment 1- Designer Retainer to hold project timeline Payment 2- Before start date of project Payment 3-Before delivery of final files All dates will be outlined on your invoice. If we are able to start your project sooner, we will notify you and adjust payment dates accordingly.

Client Process

Client Project timeline will be set in writing and method of communication agreed upon. ALL DRAFTS AND COMMUNICATION MUST REMAIN IN WRITING TO ENSURE ALL DESIRED CHANGES AND QUESTIONS CAN BE EASILY REFERENCED. Feedback will not be discussed via phone call or text unless there is a specific circumstance. Clients understand there is a Client responsibility to complete all necessary questionnaires prior to start of project. Client understands that if these objectives are not filled out completely on the questionnaire before the Client's start date, the Client's project timeline will be pushed to the end of the Designer's schedule.

Artistic Release

Client has spent a satisfactory amount of time reviewing Designer's work and has a reasonable expectation that Designer will perform the Services in a similar manner and style unless otherwise specified in this Agreement.

Consistency

Designer will use reasonable efforts to ensure Client's desired Services are produced in a style and manner consistent with the current portfolio and Designer will try to incorporate any reasonable suggestion made by the Client. However, Client understands and agrees that: Every client is different, with different tastes, budgets, and needs; Art is often subjective and designer has a unique vision, with an ever evolving style and technique; Designer will use it's artistic judgment when providing Services for the Client, which may not include strict adherence to Client's suggestions; Although Designer will use reasonable efforts to incorporate Client's suggestions and desires when providing Client with the Services, Designer shall have final say regarding the aesthetic judgment and artistic quality of the Services.

Limit of Liability

Client agrees that the maximum amount of damages he or she is entitled to in any claim relating to this Agreement or Service provided in this Agreement are not to exceed the Total Cost of services provided by Designer.

Loss of Product

In the event that any or all product(s) are lost, such as damage to or loss of a component of the product necessary for final delivery, Designer shall refund Client a pro-rated portion of the Total Cost based on the number of Services that were completed/provided against the amount of Services that were agreed to be completed/provided.

Indemnification

Client agrees to indemnify, defend and hold harmless Designer and it's affiliates, employees, agents and independent contractors for any injury, property damage, liability, claim or other cause of action arising out of or related to Sevices and/or product(s) Designer provides to Client.

Changes

Unless otherwise provided herein, Client shall pay additional charges for all changes requested by Client which are outside the scope of the Services on a time and material basis, at Designer's standard hourly charge of $60 per hour, or in an amount separately agreed upon in writing in advance of the change. Such charges shall be in addition to all other amounts payable under this Agreement despite any maximum budget, contract price or final price identified therein. Designer may extend or modify any delivery schedule or deadline as required by such changes.

Impossibility

Notwithstanding the above, either party may choose to be excused of any further performance obligations in the event of a disastrous occurrence outside the control of either party, such as, but not limited to: a natural disaster (fires, explosions, earthquakes, hurricane, flooding, storms, or infestation); or war, invasion, act of foreign enemies, embargo, or other hostility (declared or not); or any hazardous situation created outside the control of either party such as a riot, disorder, nuclear leak or explosion, or act or threat of terrorism.

Failure to Perform Services

In the event Designer cannot or will not perform its obligations in any or all parts of this Agreement, it (or responsible party) will: Immediately give notice to Client via contact information detailed in this Agreement; and issue a refund or credit based on a reasonably accurate percentage of Services rendered; and excuse Client of any further performance and or/payment obligations in the Agreement.

Merger

This Agreement constitutes the final, exclusive agreement between the parties relating to the Services contained in this Agreement. All earlier and contemporaneous negotiations and agreements between the parties on the matter contained in the Agreement are expressly merged into and superseded by this Agreement.

Amendment

The parties may amend this Agreement only by the Parties' written consent via proper Notice.
